These Terms of Service (“Terms”) are entered into by and between Copy Roger (“Copy Roger,” “we,” “us,” or “our”) and the business or individual agreeing to these Terms (“Customer,” “you,” or “your”). These Terms govern your access to and use of Roger, Copy Roger's AI-powered virtual front desk service, and all related websites, dashboards, applications, and services (collectively, the “Service”).
By creating an account, clicking “I agree,” or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity. If you do not agree to these Terms, do not use the Service.
Please read Section 17 (Dispute Resolution; Arbitration Agreement) carefully. It requires most disputes between you and Copy Roger to be resolved by binding individual arbitration and waives your right to a jury trial and to participate in a class action. Section 17.7 explains how to opt out of arbitration.
1. The Service
1.1 Description. Roger is an AI-powered virtual assistant that answers phone calls on Customer's behalf, communicates with Customer's customers and prospective customers by voice and text message (“Callers”), triages and routes calls, books, reschedules, and cancels appointments, sends the text messages each Customer sets up and each Caller has agreed to receive (see Section 5), maintains records of Caller interactions, and provides Customer with summaries, reports, and analytics regarding call and messaging activity, including through the “Ask Roger” feature.
1.2 Two Categories of People. The Service involves two distinct groups: (a) Customer, who subscribes to and configures the Service, and (b) Callers, who are Customer's own customers, prospective customers, or other members of the public who call or text the phone number(s) Customer connects to the Service. Copy Roger's contractual relationship is with Customer. Copy Roger has no direct contractual relationship with Callers, but processes information about Callers as described in Section 9 and our Privacy Policy.
1.3 AI Disclosure. Roger will identify itself as an automated assistant at the start of every call and will not represent itself as a human being. Callers may request to speak with a live person at any time. Customer may not configure, instruct, or attempt to configure the Service to disguise Roger's automated nature or to impersonate a human.
1.4 Human Oversight Required for Certain Actions. The Service is designed so that certain categories of actions — including cancellations, refunds, credits, discounts, and any pricing outside the ranges Customer configures — are not completed autonomously and instead require Customer's review and approval. Customer is responsible for configuring these settings appropriately and reviewing items flagged for approval in a timely manner.
1.5 Changes to the Service. We may modify, update, or discontinue features of the Service from time to time. We will use commercially reasonable efforts to notify Customer of material changes that materially reduce the Service's core functionality.
2. Eligibility and Accounts
2.1 Eligibility. You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for use by businesses and business owners, not consumers acting in a personal capacity.
2.2 Account Registration. You must provide accurate, current, and complete information when creating an account and keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
2.3 Authorized Users. If you permit employees, contractors, or other individuals (“Authorized Users”) to access the Service on Customer's behalf, Customer is responsible for their compliance with these Terms.
3. Customer Responsibilities
Customer represents, warrants, and agrees that it will:
- Have all rights, consents, and authority necessary to forward its business phone number(s) to the Service and to permit Roger to communicate with Callers on its behalf;
- Comply with all applicable laws in its configuration and use of the Service, including but not limited to laws governing call recording and consent (including “one-party” and “two-party” or “all-party” consent statutes), telemarketing and automated communications (including the Telephone Consumer Protection Act (“TCPA”) and similar state and international laws), text messaging (including CTIA guidelines and carrier requirements), and consumer protection;
- Configure the Service's call-recording, disclosure, and consent settings appropriately for each jurisdiction in which it operates and in which its Callers are located, and promptly update such settings if its operations expand into new jurisdictions;
- Provide accurate information about its business, services, pricing, availability, hours, and policies for Roger to rely on when communicating with Callers, and maintain a current “do-not-answer” or escalation list for topics Roger should not address;
- Not use the Service to place unsolicited outbound telemarketing calls or messages, to harass, defraud, or deceive any person, or to violate any Caller's rights; and
- Not use the Service in connection with any business or activity that is illegal, that facilitates illegal activity, or that we notify Customer is not supported.
Customer acknowledges that it, and not Copy Roger, is solely responsible for compliance with call-recording consent laws, telemarketing laws, and similar regulations applicable to its business and jurisdictions of operation, and that Copy Roger provides configuration tools but does not provide legal advice regarding such compliance.
4. Acceptable Use
In addition to Section 3, you agree not to:
- Reverse engineer, decompile, or attempt to extract the source code or underlying models of the Service, except to the extent such restriction is prohibited by law;
- Use the Service to build a competing product;
- Resell, sublicense, or provide the Service to third parties except as expressly permitted under a Copy Roger partner or reseller agreement;
- Interfere with or disrupt the integrity or performance of the Service;
- Attempt to gain unauthorized access to the Service or its related systems; or
- Use the Service to transmit any unlawful, defamatory, or infringing content.
5. Text Messages
Roger sends text messages for the businesses that use it. A business's customers receive texts only after they agree during a call, and each business's own page describes exactly what it sends. For appointment texts that means confirmations, changes and cancellations, not promotions.
Frequency varies with bookings. Message and data rates may apply. Reply STOP to stop and HELP for help, or contact help@copyroger.com.
Wireless carriers are not liable for delayed or undelivered messages.
6. Third-Party Integrations
The Service may connect with third-party calendars, scheduling tools, customer-relationship-management systems, payment platforms, and similar tools that Customer chooses to connect (“Third-Party Systems”), including Google Workspace services such as Gmail, Google Drive, and Google Sheets. Customer authorizes Copy Roger to access and exchange data with Third-Party Systems as necessary to provide the Service, and only to the extent of the permissions Customer grants when connecting such a system. Copy Roger is not responsible for the availability, accuracy, security, or performance of Third-Party Systems, and Customer's use of them is governed by the applicable third party's terms. If a Third-Party System becomes unavailable or is discontinued, related features of the Service may be limited or unavailable.
7. Fees and Payment
7.1 Subscription Plans. Copy Roger offers subscription plans and add-on features as described on our pricing page or as otherwise agreed in an order form (each, an “Order”). Fees are based on the plan selected and the volume of conversations included; additional conversations beyond a plan's included volume are billed at the then-current per-conversation rate.
7.2 Billing. Monthly plans are billed in advance on a monthly basis and continue month-to-month unless cancelled. Annual plans are billed in advance annually. Overage charges are billed in arrears. You authorize Copy Roger (or its payment processor) to charge your designated payment method for all fees due.
7.3 Cancellation. You may cancel a monthly plan at any time, effective at the end of the then-current billing period; Copy Roger does not provide refunds or credits for the unused portion of a billing period except as required by law or as expressly stated in an Order. Annual plans may be cancelled effective at the end of the then-current annual term unless otherwise stated in an Order.
7.4 Taxes. Fees are exclusive of applicable taxes, which Customer is responsible for, excluding taxes based on Copy Roger's net income.
7.5 Late Payment; Suspension. We may suspend or limit access to the Service if fees are past due and not cured within ten (10) days of notice.
7.6 Price Changes. We may change our fees prospectively upon at least thirty (30) days' notice; continued use after the effective date of a price change constitutes acceptance.
8. Intellectual Property
8.1 Copy Roger IP. Copy Roger retains all right, title, and interest in and to the Service, including Roger, all underlying software, models, designs, and trademarks (including “Copy Roger” and “Roger”), and all improvements and derivative works thereof. These Terms grant Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Service during the subscription term, solely for Customer's internal business purposes.
8.2 Customer Content. Customer retains ownership of the business information, call flows, scripts, and other materials it provides to configure the Service (“Customer Content”). Customer grants Copy Roger a license to use Customer Content solely to provide, maintain, and improve the Service for Customer.
8.3 Feedback. If Customer provides suggestions or feedback about the Service, Copy Roger may use such feedback without restriction or obligation to Customer.
9. Data and Privacy
9.1 Privacy Policy. Copy Roger's collection, use, and disclosure of personal information — including information about Customer's personnel and about Callers — is described in our Privacy Policy, which is incorporated into these Terms by reference.
9.2 Ownership of Customer Data. As between the parties, Customer owns the data generated through its use of the Service, including call recordings, transcripts, and customer records (“Customer Data”), subject to Copy Roger's rights to use such data as described in the Privacy Policy. Neither Copy Roger nor the service providers described in our Privacy Policy — including our telephony, messaging, and AI model providers — sell Customer Data or use it to train general-purpose or cross-customer AI models.
9.3 Export and Deletion. Customer may export its Customer Data in a standard format at any time during the subscription term, and may request deletion of Customer Data upon cancellation, subject to the retention periods described in the Privacy Policy and any legal retention obligations.
9.4 Data Protection Roles. With respect to personal information about Callers, Copy Roger acts as a service provider/processor on Customer's behalf, and Customer acts as the business/controller responsible for determining the purposes of processing and for providing any notices or obtaining any consents required from Callers under applicable law.
10. Confidentiality
Each party may receive confidential or proprietary information of the other party (“Confidential Information”). Each party agrees to use the other's Confidential Information only to perform its obligations under these Terms, and to protect it using at least the same degree of care it uses for its own similarly sensitive information (and no less than reasonable care). This Section does not apply to information that is or becomes public through no fault of the receiving party, was already known to the receiving party, or is independently developed.
11. Disclaimers
The Service, including Roger and all AI-generated content, is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Copy Roger does not warrant that the Service will be uninterrupted, error-free, or secure, that Roger's responses will always be accurate or appropriate, or that use of the Service will result in any particular booking rate, revenue, or business outcome. Roger does not provide legal, medical, financial, or other professional advice, and any information it provides to Callers is general in nature.
12. Limitation of Liability
To the maximum extent permitted by law: (a) neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost business, or loss of data, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages; and (b) Copy Roger's total aggregate liability arising out of or related to these Terms or the Service will not exceed the fees paid by Customer to Copy Roger in the twelve (12) months preceding the event giving rise to the claim.
These limitations do not apply to (i) either party's indemnification obligations, (ii) Customer's payment obligations, (iii) a party's gross negligence or willful misconduct, or (iv) liability that cannot be limited under applicable law.
13. Indemnification
Customer agrees to indemnify, defend, and hold harmless Copy Roger and its officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Customer's use of the Service in violation of these Terms or applicable law; (b) Customer's failure to obtain required consents or provide required notices to Callers; (c) Customer Content; or (d) Customer's violation of any third party's rights.
14. Term and Termination
14.1 Term. These Terms remain in effect for as long as Customer maintains an account or subscription with Copy Roger.
14.2 Termination for Convenience. Customer may terminate its subscription as described in Section 7.3. Copy Roger may terminate a monthly subscription for convenience upon thirty (30) days' notice.
14.3 Termination for Cause. Either party may terminate these Terms immediately if the other party materially breaches these Terms and fails to cure the breach within fifteen (15) days of written notice, or immediately if the other party becomes insolvent or ceases operations.
14.4 Effect of Termination. Upon termination, Customer's access to the Service will end, and Customer should redirect call forwarding back to its prior configuration. Sections that by their nature should survive termination (including Sections 7 (as to fees owed), 8, 10, 11, 12, 13, 15, and 17) will survive.
15. Suspension for Risk or Misuse
We may suspend or restrict access to the Service, without liability, if we reasonably believe: (a) Customer's use poses a security risk to the Service or others; (b) Customer's use may violate applicable law or expose Copy Roger to liability; or (c) Customer has materially breached these Terms.
16. Governing Law
These Terms and any dispute arising out of or related to them or the Service will be governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, except that the Federal Arbitration Act governs the interpretation and enforcement of Section 17.
17. Dispute Resolution; Arbitration Agreement
17.1 Agreement to Arbitrate. Except as set out in Section 17.2, you and Copy Roger agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a “Dispute”) will be resolved by binding arbitration on an individual basis, rather than in court, except that either party may bring an individual action in small claims court.
17.2 Exceptions. This arbitration agreement does not apply to: (a) claims for injunctive relief to protect intellectual property or confidentiality rights; or (b) claims that cannot be subject to mandatory arbitration under applicable law.
17.3 Arbitration Procedure. Arbitration will be administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules (or, for individuals, its Consumer Arbitration Rules, as applicable), and will be conducted by a single arbitrator. The arbitration will take place in [county], Texas, or another mutually agreed location, or may be conducted remotely or by written submission where permitted by the AAA rules. The arbitrator's decision will be final and binding, and judgment may be entered on it in any court of competent jurisdiction.
17.4 Class Action Waiver.
You and Copy Roger agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of a class or representative proceeding.
17.5 Jury Trial Waiver.
You and Copy Roger waive any right to a jury trial for any dispute subject to arbitration under this Section.
17.6 Fees. Payment of arbitration filing, administrative, and arbitrator fees will be governed by the AAA's rules.
17.7 Opt-Out. You may opt out of this arbitration agreement by sending written notice to help@copyroger.com within thirty (30) days of first accepting these Terms, including your name, business name, and a clear statement that you wish to opt out of arbitration. If you opt out, all other provisions of these Terms will continue to apply, and any Dispute will be resolved in the state or federal courts located in [county], Texas, and you and Copy Roger each consent to personal jurisdiction there.
17.8 Severability of Arbitration Terms. If the class action waiver in Section 17.4 is found unenforceable as to a particular Dispute, then that Dispute (and only that Dispute) will proceed in court, and the remainder of this Section 17 will still apply to other Disputes.
18. Modifications to These Terms
We may update these Terms from time to time. If we make material changes, we will notify Customer (for example, by email or in-product notice) at least fifteen (15) days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
19. General Provisions
19.1 Entire Agreement. These Terms, together with any Order and our Privacy Policy, constitute the entire agreement between the parties regarding the Service and supersede all prior agreements on the subject.
19.2 Assignment. Customer may not assign these Terms without Copy Roger's prior written consent, except in connection with a merger, acquisition, or sale of substantially all assets. Copy Roger may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
19.3 Force Majeure. Neither party is liable for delay or failure to perform due to causes beyond its reasonable control.
19.4 Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
19.5 No Waiver. Failure to enforce any provision is not a waiver of that provision.
19.6 Notices. Notices to Copy Roger should be sent to help@copyroger.com. Notices to Customer will be sent to the email address or contact associated with Customer's account.
19.7 Relationship of Parties. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
